1. Provider identity

2. Purpose

These terms of sale (the "Terms") govern the provision by KBS Ventures SRL of Google Business Profile management, local SEO (Google Maps) and AI search-engine visibility optimization services, for the benefit of business customers (B2B relationship).

3. Services

The VigiRank offer includes in particular: optimization and management of the Google Business Profile, listings on directories and citation sources, setup of a review system, ongoing profile management, an AI-optimized website, as well as monthly re-audits and a performance report. The exact scope of services is the one presented on the website and/or in the quote accepted by the client.

4. Price and payment

The plan is billed at $297 per month, with no setup fee. Any applicable taxes are added at the rate in force. Payment is monthly, due upon receipt of invoice according to the agreed terms. Any late payment may result in the suspension of the services and late-payment interest in accordance with the applicable law on commercial transactions.

5. Term and termination

The contract is entered into with no fixed term and renews monthly. Either party may end it at any time, with termination taking effect at the end of the current monthly period. No amount already paid for a month in progress is refunded solely as a result of termination.

6. Results guarantee

KBS Ventures SRL undertakes to generate 45 new calls within 90 days following the actual launch of the services. Should this goal not be met, KBS Ventures SRL will continue the services at no additional charge until it is reached. This guarantee applies subject to the client's cooperation, in particular: providing the necessary accesses (Google Business Profile, website, etc.), approving content within reasonable timeframes, the accuracy of the information provided, and the absence of any third-party intervention disrupting the services. Call tracking is measured via the Google Business Profile statistics tools and/or the agreed tracking systems.

7. Exclusivity

To preserve the effectiveness of the services, KBS Ventures SRL may accept only one client per industry and per geographic area. This exclusivity, when granted, is specified at the time of subscription.

8. Client obligations

• Provide accurate information and the accesses necessary to perform the services.
• Comply with the rules and terms of use of Google and the platforms concerned.
• Cooperate in good faith and respond to requests within reasonable timeframes.

9. Liability

KBS Ventures SRL is bound by a best-efforts obligation. As third-party platforms (Google, AI search engines, directories) are independent, KBS Ventures SRL cannot guarantee permanent rankings nor be held liable for algorithm changes, profile suspensions or decisions by these platforms beyond its control. Its potential liability is limited to the amount invoiced to the client over the last three (3) months.

10. Data protection

The processing of personal data as part of the services is described in our privacy policy, compliant with the GDPR.

11. Governing law and jurisdiction

These Terms are governed by Belgian law. In the event of a dispute, and failing an amicable resolution, only the courts of the Namur district have jurisdiction.
